Reseller & API Terms

1.1 Purpose: These Reseller & API Terms (“Reseller Terms”) govern your participation in the Pairgate Reseller Program (“Program”) and your use of the Pairgate API. They are in addition to, and incorporated into, our Terms and Conditions.

1.2 Eligibility: To become a reseller or API partner, you must:

• Be at least 18 years old.
• Complete KYC (BVN, NIN, government ID, business registration where applicable).
• Have a verified Pairgate user account in good standing.
• Accept these Reseller Terms and our Acceptable Use Policy.

1.3 Business Use: If you register as a business, you represent that you have authority to bind that business to these Reseller Terms.

2.1 Tiers: The Program includes multiple reseller tiers (e.g., Starter, Agent, Pro, Enterprise). Each tier offers different pricing, discounts, and API limits, as published on the Platform.

2.2 Tier Requirements: Tier upgrades may depend on volume, deposit history, KYC level, and compliance standing. We reserve the right to determine tier eligibility at our discretion.

2.3 Pricing Changes: Reseller pricing and tier benefits are subject to change without prior notice. Current pricing is always displayed on the Platform or Partner Dashboard.

2.4 Volume Commitments: Certain tiers may require minimum monthly volumes. Failure to meet commitments may result in tier downgrade or loss of preferential pricing.

3.1 Commission Structure: Resellers earn commissions or receive discounts on eligible services. Rates vary by tier and service type and are published on the Platform.

3.2 Commission Accrual: Commissions accrue upon successful completion of qualifying transactions. Failed or reversed transactions do not earn commission.

3.3 No Guaranteed Income: Pairgate does not guarantee any specific income, profit, or volume. Earnings depend solely on your activity and the market.

3.4 Promotional Adjustments: We may modify, suspend, or withdraw commission structures, bonuses, or promotional incentives at any time without liability.

3.5 Anti-Abuse: Any attempt to manipulate commission structures, engage in self-referrals, or create artificial volume will result in forfeiture of commissions and possible suspension.

4.1 Program: Qualified resellers may generate and print recharge cards / e-PINs for all supported networks via the Platform.

4.2 Finality: Once an e-PIN is generated and displayed, the corresponding wallet debit is final and non-reversible, whether or not the PIN is printed, sold, or distributed.

4.3 Security: You are solely responsible for the secure storage, printing, and distribution of any e-PINs or printed cards. Pairgate is not liable for any loss, theft, or unauthorized use of printed cards.

4.4 Compliance: You must comply with all network provider rules and Nigerian consumer protection laws when selling printed cards.

4.5 No Refunds: Purchased e-PINs are non-refundable and non-reversible.

5.1 Grant of Access: Subject to these Reseller Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access the Pairgate API for the purpose of reselling Virtual Top-Up Services.

5.2 API Keys: API keys are personal to your account. You must:

• Keep keys confidential and secure.
• Not share, publish, or embed keys in client-side code.
• Immediately rotate keys if you suspect compromise.
• Notify us immediately of any unauthorized use.

5.3 Documentation: Use of the API must comply with our published documentation and rate limits.

5.4 Modifications: We may modify, version, deprecate, or discontinue any API endpoint at any time upon reasonable notice.

6.1 Rate Limits: The API is subject to rate limits (requests per second/minute) published in our documentation. Exceeding limits may result in temporary throttling or suspension.

6.2 No SLA: Unless a separate written SLA is signed, the API is provided on a best-effort basis. We do not warrant uninterrupted or error-free availability.

6.3 Downtime: Scheduled maintenance will be announced where practicable. Emergency maintenance may occur without prior notice.

6.4 Abusive Use: Any attempt to overload, attack, or circumvent the API rate limits may result in immediate suspension.

In addition to the prohibitions in our Acceptable Use Policy, resellers must not:

• Misrepresent Pairgate’s brand, pricing, or services.
• Advertise “unlimited” or “free” services without authorization.
• Resell Pairgate services to sanctioned parties or prohibited jurisdictions.
• Use the Platform to operate an unlicensed payment or money transmission business.
• Manipulate volume, referrals, or commission structures.
• Engage in predatory or misleading marketing targeting minors or vulnerable persons.
• Circumvent KYC, AML, or fraud controls.
• Share API keys, credentials, or access with third parties without authorization.

8.1 Settlement: Commissions and eligible balances are settled to your Pairgate wallet according to the schedule published in your Partner Dashboard.

8.2 Withdrawals: Withdrawals are subject to our Refund & Transaction Policy, minimum thresholds, applicable fees, and KYC verification.

8.3 Deductions: We may deduct chargebacks, reversed transactions, fraud losses, and administrative penalties from your settlements.

8.4 Taxes: You are solely responsible for all taxes arising from your reseller activity.

8.5 No Interest: Wallet balances, unsettled commissions, and pending payouts do not earn interest.

9.1 KYC Requirements: Resellers must maintain up-to-date KYC. We may request BVN, NIN, CAC documents (for businesses), proof of address, and source-of-funds documentation.

9.2 AML/CFT: All reseller activity is subject to our AML/CFT obligations under Nigerian law.

9.3 Monitoring: We may monitor reseller activity for compliance, fraud, and abuse. Suspicious activity will be reported to competent authorities.

9.4 Data Protection: Reseller data is processed in accordance with our Privacy Policy and the Nigeria Data Protection Act 2023.

10.1 Our Rights: We may suspend or terminate your reseller or API access at any time, with or without notice, if you violate these Reseller Terms, the Terms, or the Acceptable Use Policy.

10.2 Effect of Termination: Upon termination, your API access is revoked, unsettled commissions may be withheld pending investigation, and outstanding obligations remain due.

10.3 Survival: Provisions on liability, indemnity, compliance, and dispute resolution survive termination.

11.1 Limitation of Liability: To the maximum extent permitted by Nigerian law, Pairgate’s total aggregate liability to you under these Reseller Terms shall not exceed the amount of the specific transaction giving rise to the claim.

11.2 Exclusion: We are not liable for indirect, incidental, consequential, special, or punitive damages, including lost profits or business opportunity.

11.3 Indemnity: You agree to indemnify Pairgate against all claims, damages, losses, and expenses (including reasonable legal fees) arising from your breach of these Reseller Terms, your misuse of the API, or your violation of any third-party right.
